XRMFusion License Agreement

This License Agreement ("Agreement") is a legal agreement between you ("Licensee") and ITK Communications GmbH ("Licensor"), for the XRMFusion software application, which includes computer software, and may include associated media, printed materials, and online or electronic documentation ("Software"). By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this Agreement. If you do not agree to the terms of this Agreement, do not install or use the Software.

1. Grant of License

Licensor hereby grants Licensee a non-exclusive, non-transferable, limited license to use the Software in accordance with this Agreement and any other written agreement with Licensor. Licensee may not sublicense, assign, or distribute the Software to any entity or person without prior written consent from Licensor.

2. Software Use and Restrictions

Licensee shall use the Software in compliance with all applicable laws and not for any unlawful purpose. Licensee shall not:

  • Modify, adapt, translate, or create derivative works based upon the Software.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Software, except to the extent that such activity is expressly permitted by applicable law notwithstanding this limitation.
  • Rent, lease, lend, sell, redistribute, or sublicense the Software.
  • Remove any proprietary notices or labels on the Software.


3. Intellectual Property

Licensor retains all rights, including intellectual property rights, in and to the Software and any copies thereof. All trademarks, service marks, logos, domain names, and other distinctive brand features are the property of their respective owners. This Agreement does not grant Licensee any intellectual property rights in the Software or any part thereof.

4. Termination

This Agreement is effective until terminated by either party. Your rights under this Agreement will terminate automatically without notice from Licensor if you fail to comply with any term(s) of this Agreement. Upon termination, you shall cease all use of the Software, and destroy all copies, full or partial, of the Software.

5. Disclaimer of Warranties

The Software is provided "as is" and "as available" with all faults and without warranty of any kind. Licensor hereby disclaims all warranties and conditions with regard to the Software, whether express, implied, or statutory, including, but not limited to, the implied warranties and/or conditions of merchantability, of satisfactory quality, of fitness for a particular purpose, of accuracy, and non-infringement of third-party rights.

6. Limitation of Liability

In no event shall Licensor be liable for any special, indirect, incidental, or consequential damages whatsoever (including, without limitation, damages for loss of business profits, business interruption, loss of business information, or any other pecuniary loss) arising out of the use of or inability to use the Software, even if Licensor has been advised of the possibility of such damages.

7. Governing Law

This Agreement shall be governed by the laws of the jurisdiction in which Licensor resides, without regard to its conflict of law provisions.
